Partner API Agreement

NOT FINANCIAL DATA — The MySentiMap Partner API provides community sentiment and prediction data for general informational purposes only. It does not constitute financial product advice, securities research, or investment recommendations. You must not present MySentiMap data as financial advice to your users. See Section 5 for full restrictions.

This Agreement governs your access to and use of the MySentiMap Partner API ("API"). It is separate from and in addition to the MySentiMap Terms & Conditions which govern your use of the Platform as an end user. By receiving an API key, you agree to be bound by both documents.

1. Parties & Definitions

"MySentiMap", "we", "us" means MySentiMap (ABN 98 716 278 583), the operator of the MySentiMap platform at mysentimap.com.

"Partner", "you" means the individual or legal entity that has been issued an API key under this Agreement.

API The MySentiMap Partner API, accessible at the endpoints described in the API documentation provided with your key. API Key The unique credential (format: msm_live_...) issued by MySentiMap that authenticates your requests to the API. API Data All data returned by the API, including community sentiment percentages, prediction counts, trending stocks, leaderboard rankings, and exchange-level summaries. End Users Your customers, subscribers, or users who interact with your product or service that incorporates API Data. Platform Users Registered members of the MySentiMap community who submit predictions and ratings that form the source of API Data. Tier Your API access tier (Starter, Growth, or Enterprise) which determines your monthly request quota and per-minute rate limit.

2. API Access & Key Management

Key security: Your API Key is a credential equivalent to a password. You are solely responsible for keeping it confidential. You must not embed it in client-side code, public repositories, or any location accessible by third parties.

Authorised use: Your API Key may only be used by your authorised systems and employees to make requests on your behalf. You must not share, sell, or transfer your key to any third party.

Usage monitoring: We log all API requests associated with your key, including timestamps, endpoints called, and response codes. This data is used for billing verification, abuse detection, and service improvement. Usage logs are retained for 12 months.

Quota: Requests in excess of your monthly quota will be rejected with HTTP 429. Unused quota does not roll over to the following month. Quota resets on the first day of each calendar month (UTC).

Key revocation: MySentiMap may revoke your API Key immediately if we determine, in our reasonable discretion, that you are in breach of this Agreement. We will attempt to provide written notice where practicable. You may request a key rotation at any time by contacting hello@mysentimap.com.

Breach notification: If you know or suspect that your API Key has been compromised, disclosed to an unauthorised party, or is being used without your authorisation, you must notify MySentiMap at hello@mysentimap.com within 24 hours of becoming aware. You must also immediately rotate or disable the key. MySentiMap accepts no liability for unauthorised use of your key that occurs before we receive your notification.

3. Licence Grant

Subject to your compliance with this Agreement and payment of applicable fees, MySentiMap grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to:

  • Access the API and retrieve API Data during the term of this Agreement
  • Display API Data within your own product or service to your End Users, subject to the restrictions in Section 5
  • Cache API Data for up to 24 hours for the purpose of reducing API call volume and improving performance for your End Users

This licence does not include any right to copy, store, or distribute API Data beyond what is expressly permitted above. All rights not expressly granted are reserved by MySentiMap.

4. Permitted Uses

You may use API Data for the following purposes:

  • Displaying community sentiment indicators alongside stock, crypto, or commodity information in your app or dashboard
  • Showing trending stocks or most-discussed assets as a community interest feature
  • Displaying anonymised or named (enterprise tier only) leaderboard rankings as a social or community feature
  • Internal research, analytics, or reporting about community sentiment trends, provided such output is not distributed externally as a standalone data product
  • Building features that surface community activity to your End Users for informational and entertainment purposes

All permitted uses require you to display a clear, prominent disclaimer to your End Users stating that the data represents community opinion only and does not constitute financial advice. See Section 6 for required disclaimer wording.

5. Prohibited Uses

You must not use the API or API Data to:

  • Re-sell or sublicense: Sell, resell, sublicense, rent, lease, or otherwise transfer API Data or API access to any third party as a standalone data product or data feed without MySentiMap's prior written consent
  • Financial advice: Present, market, or distribute API Data as financial product advice, securities research, analyst recommendations, or investment guidance to your End Users or any other party (see Section 6)
  • Algorithmic trading: Use API Data as a direct input signal in any algorithmic, automated, or high-frequency trading system without first obtaining MySentiMap's written consent and satisfying any applicable regulatory requirements
  • Data aggregation products: Include API Data in any data marketplace, financial data terminal, or aggregated research platform that is marketed as providing financial information without clearly disclosing that MySentiMap data is community-sourced opinion data
  • Reverse engineering: Attempt to identify individual Platform Users from aggregated API Data, or correlate API Data with other data sources to re-identify individuals
  • Circumventing limits: Use multiple API keys, rotate keys, or use technical means to circumvent quota or rate limits
  • Scraping: Use the API to systematically collect or cache data beyond the 24-hour permitted cache window for the purpose of building a competing dataset
  • Misrepresentation: Represent API Data as MySentiMap's own investment view, recommendation, or endorsement of any security
  • Unlawful purposes: Use API Data in a manner that violates any applicable law, including the Corporations Act 2001 (Cth), the ASIC Act 2001 (Cth), or any market manipulation or insider trading prohibition

6. Financial Services Restrictions

This section contains mandatory obligations. Breach of this section may result in immediate key revocation and referral to ASIC.

MySentiMap is not a financial services business and does not hold an Australian Financial Services Licence (AFSL). API Data is community-sourced opinion data with no verified financial expertise. You acknowledge and agree that:

  • API Data does not constitute financial product advice (personal or general) within the meaning of the Corporations Act 2001 (Cth)
  • API Data is not securities research from a licensed analyst
  • You will not represent API Data as financial advice, a buy/sell recommendation, or a prediction of future price movements to your End Users
  • You will not use MySentiMap's name, brand, or data to imply endorsement of any investment strategy or product
  • If you operate under an AFSL or provide financial services, you accept sole responsibility for ensuring your use of API Data complies with your licence conditions and any ASIC regulatory guidance applicable to your business

Required End User Disclaimer

Wherever you display API Data to End Users, you must display a disclaimer in substantially the following form, in a location reasonably visible to End Users:

"Sentiment data powered by MySentiMap. This data reflects the community opinions of MySentiMap users and is provided for general informational and entertainment purposes only. It does not constitute financial product advice, a recommendation to buy or sell any security, or securities research. Past community sentiment is not a reliable indicator of future market performance. Always seek advice from a qualified, licensed financial adviser."

You may paraphrase this disclaimer provided the substance — that the data is community opinion, not financial advice, and not predictive — is preserved. MySentiMap reserves the right to review how you display this disclaimer and require amendments if we determine it is insufficient.

Billing: Growth tier fees are billed monthly in advance in Australian Dollars (AUD) inclusive of GST, via the payment method on file. Invoices are issued at the start of each billing cycle.

Overages: If you exceed your monthly quota, requests will be rejected (HTTP 429) until your quota resets. We do not automatically charge overage fees, but we may contact you to discuss an upgrade.

Price changes: We may adjust pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Refunds: API fees are non-refundable except where required by the Australian Consumer Law. If you cancel mid-cycle, access continues until the end of the paid period.

Suspension for non-payment: If payment fails and is not remedied within 7 days, we may suspend your API key until outstanding amounts are paid.

8. Data Quality & Accuracy Disclaimer

You acknowledge that API Data has inherent limitations and you will not represent it as a reliable or accurate source of market information:

  • Community-sourced: API Data is derived from predictions and ratings submitted by ordinary members of the public. Contributors are not verified as licensed financial professionals and may have varying levels of market knowledge
  • Sample size: Sentiment signals for less-traded or niche assets may be based on a small number of predictions and may not be statistically representative of broader market sentiment
  • Delays: API Data is aggregated and cached and may not reflect the most recent Platform activity. Cache durations are disclosed in the API documentation
  • No verification: MySentiMap does not verify whether prediction submissions comply with applicable law, including insider trading prohibitions, and accepts no liability for the quality or lawfulness of community content
  • No uptime guarantee: Starter and Growth tiers are provided on a best-efforts basis with no guaranteed uptime or SLA. Enterprise SLA terms are negotiated separately
  • Historical performance: Past community sentiment accuracy is not a reliable indicator of future sentiment accuracy or market outcomes
  • No exchange price data: API Data does not include live or delayed market prices, bid/ask quotes, or any data sourced from ASX, NASDAQ, or other exchange data feeds. The API returns only community-derived sentiment metrics (percentages, counts, and timestamps) and publicly available company names. If you require market price data, you must obtain it independently under your own licence with a licenced market data provider

Third-party data licences: MySentiMap sources company name data from publicly available sources. Any market price data displayed on the MySentiMap Platform is obtained under separate agreements with third-party data providers (including ASX, Financial Modelling Prep, and Yahoo Finance) and is not included in or redistributed via the API. You must not use the API as a means of accessing exchange-sourced market data.

9. Intellectual Property

MySentiMap retains all intellectual property rights in the API, API Data, platform technology, aggregation methodology, and scoring systems. Nothing in this Agreement transfers any intellectual property right to you.

You retain ownership of your own product and technology. MySentiMap acquires no intellectual property rights in your product by virtue of this Agreement.

Attribution: When displaying API Data in your product, you must include a visible attribution stating that sentiment data is "Powered by MySentiMap" or equivalent. You may use the MySentiMap name for this purpose but may not use our logo, trademark, or brand identity without separate written consent.

10. Confidentiality

You must treat your API Key, any technical documentation, pricing information not publicly available on our website, and any non-public information we share with you as confidential. You must not disclose such information to any third party without our prior written consent.

This obligation does not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) you already possessed before we disclosed it; or (c) you are required to disclose by law or court order, provided you give us reasonable advance notice where permitted.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the API and all API Data are provided "as is" and "as available" without warranty of any kind, express or implied. MySentiMap expressly disclaims all warranties including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that API Data is accurate, complete, timely, or representative of market conditions
  • Warranties that the API will be uninterrupted, error-free, or free from security vulnerabilities
  • Any implied warranty that API Data has investment, financial, or predictive value

Nothing in these terms excludes consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, MySentiMap's total aggregate liability to you under or in connection with this Agreement is limited to the greater of:

  • The total fees you paid to MySentiMap in the three (3) months immediately preceding the event giving rise to the claim; or
  • AUD $500

MySentiMap is not liable for any indirect, incidental, special, consequential, or punitive loss of any kind, including without limitation:

  • Loss of revenue, profit, business opportunity, or goodwill
  • Investment or trading losses suffered by you or your End Users arising from reliance on API Data
  • Data loss or corruption
  • Loss arising from API downtime, rate limiting, or data inaccuracies
  • Claims brought by your End Users or third parties against you in connection with API Data

These limitations apply even if MySentiMap has been advised of the possibility of such loss. Nothing in this section excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable Australian law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MySentiMap, its officers, employees, and agents from and against any claims, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Your breach of this Agreement, including any violation of the financial services restrictions in Section 6
  • Your use of API Data in a manner not expressly permitted under this Agreement
  • Claims by your End Users or third parties arising from your product's use of API Data
  • Your violation of any applicable law in connection with your use of the API
  • Any regulatory action taken against you by ASIC or another authority relating to your use of API Data

14. Term & Termination

Term: This Agreement commences when your API Key is first issued and continues on a month-to-month basis until terminated.

Termination by you: You may terminate this Agreement at any time by ceasing to use the API and notifying us at hello@mysentimap.com. Termination does not entitle you to a refund of prepaid fees.

Termination by MySentiMap: We may terminate this Agreement and revoke your API Key:

  • Immediately, without notice, for material breach of this Agreement — including any breach of Section 5 (Prohibited Uses) or Section 6 (Financial Services Restrictions)
  • With 30 days' written notice, for any other reason at our discretion
  • Immediately, if you become insolvent, enter administration, or cease to carry on business

Effect of termination: On termination, your API Key is deactivated and you must immediately cease using API Data in your product. Any API Data cached pursuant to Section 3 must be deleted within 7 days of termination. Sections 5, 6, 9, 10, 11, 12, 13, and 15 survive termination.

15. Governing Law & Disputes

This Agreement is governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

Dispute resolution: Before initiating legal proceedings, the parties agree to attempt in good faith to resolve any dispute informally. Either party may initiate this process by written notice to the other. If the dispute is not resolved within 21 days of that notice, either party may proceed with formal legal action.

Injunctive relief: Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property rights or confidential information.

16. General Provisions

Entire Agreement: This Agreement, together with the MySentiMap Terms & Conditions and Privacy Policy, constitutes the entire agreement between the parties regarding the API and supersedes all prior discussions, representations, and agreements.

Amendments: We may update this Agreement at any time by posting a revised version at this URL and notifying you by email with 14 days' notice. Continued use of the API after that period constitutes acceptance. For material changes (including pricing or Section 6 obligations), we will provide 30 days' notice.

Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or business transfer upon written notice to you.

Severability: If any provision of this Agreement is found unlawful or unenforceable, it is severable and the remaining provisions continue in full force.

Waiver: Failure to enforce any provision of this Agreement is not a waiver of our right to enforce it in the future.

Independent parties: The parties are independent contractors. This Agreement does not create any partnership, joint venture, agency, employment, or franchise relationship.

Notices: All formal notices must be in writing to the contact addresses in Section 17. Email is sufficient for operational notices (key provisioning, quota alerts, service changes).

Please read the full Partner API Agreement above before accepting. Acceptance creates a binding legal obligation between you and MySentiMap.
